TSG Connect extranet terms of use

This TSG Connect extranet Site (“Site”) is hosted and operated by Technology Sciences Group Inc, a Delaware corporation, located at 1150 18th Street, N.W. Suite 475, Washington D.C. 20036, USA (“TSG”).

Use of this Site
Access to this Site has been made available to you as a means of accessing, downloading and/or otherwise obtaining a copy of your regulatory compliance documentation and other data on a temporary basis during the course of the applicable services to be undertaken for you by TSG and to which such documentation and data relate. Access to this Site is given in return for payment of TSG’s professional fees for such services, as set out in the relevant contractual agreement between TSG and you for the provision of such services. By accessing this Site or accessing, downloading and/or otherwise obtaining the documentation or data held on this Site, you agree to be bound by these terms of use. You should not access or continue to access this Site if you do not agree to be bound by these terms of use.

TSG does not provide archiving services and you should not rely on this Site as your archive or sole repository of any documentation or data. You are solely responsible for arranging your own copies or back-ups of all documentation or data uploaded to or accessed through this Site.

TSG reserves the right to withdraw your access to this Site and all documentation or data held on it at any time without notice following termination or expiry of your contractual agreement with us for the services to which your access to this Site relates or in the event of your failure to comply with any of the provisions of these terms of use.

If you are provided with, or invited to choose, a user identification code, password or any other item of information as part of the security procedures of this Site, you must treat such information as confidential, and will be responsible for ensuring that this is not disclosed to any unauthorised third party. TSG reserves the right to disable any user identification code or password, whether chosen by you or allocated by us, and withdraw your access to this Site at any time, if in our opinion you have failed to comply with any of the provisions of these terms of use.

You are responsible for making all other arrangements necessary for you to have access to this Site including (without limitation) configuring your information technology, computer programmes and web platform. You are also responsible for ensuring that all of your personnel who access this Site are aware of these terms of use, and that they comply with them.

You are granted access to this Site strictly on the basis that you accept that this Site and its contents are made available on an “as is” and “as available” basis. Owing to the nature of the internet, TSG cannot guarantee that this Site or any websites to which it is linked will always be available to users. TSG gives no warranty whatsoever that the content of this Site will be accurate or complete at any particular time or at all.

In accessing and using this Site you and your personnel shall not:

• disrupt or interfere with this Site including but not limited to denial of service attacks, mail bombing, flooding or other deliberate attempts to overload this Site;
• permit unauthorised users to access this Site
• upload, post to, display or transmit any content or materials through this Site which are false, offensive, defamatory, threatening, obscene, abusive, menacing, indecent, misleading, unlawful or which violate, breach or infringe the rights of any person anywhere in the world (including but not limited to any intellectual property rights);
• probe, scan or test the vulnerability of this Site or circumvent or hack any user authentication or security controls in respect of this Site or attempt to do so;
• send, or permit others to send, unsolicited bulk, junk or spam emails of any kind or begin or forward chain emails or malicious emails to or via this Site; or
• reverse engineer, decompile, copy or adapt any software or other code or scripts forming part of this Site or attempt to transmit to or via this Site any information that contains a virus, worm, Trojan horse or other harmful or disruptive component.

Internet security
You should ensure that you have appropriate protection against viruses and take steps to ensure the security of your computer network whilst using the internet and this Site.

Exclusions and limitations of liability
(i) Nothing in this Agreement shall be construed to limit the liability of TSG in circumstances where liability cannot be limited by law.

(ii) Subject to Paragraph (i) above, TSG SHALL NOT BE LIABLE TO YOU FOR SPECIAL, CONSEQUENTIAL, INCIDENTAL, INDIRECT, PUNITIVE OR EXEMPLARY DAMAGES, LOSS CAUSED BY BUSINESS INTERRUPTION OR LOSS OF PROFIT AND/OR REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF USE AND/OR TSG’S PROVISION OF THIS SITE AND/OR YOUR USE OR ACCESS OF THIS SITE, HOWEVER CAUSED, WHETHER FOR BREACH OF WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE.

(iii) Subject to Paragraphs (i) and (ii) above, TSG’s total aggregate liability to you, whether in contract, tort, negligence, breach of statutory duty or otherwise, arising out of or in connection with these terms of use and/or TSG’s provision of this Site and/or your use or access of this Site, shall be limited to the sum of $100.

(iv) You acknowledge and agree that, to the fullest extent permitted by law, TSG will not be liable in respect of any loss or damage whatsoever (including, but not limited to, any loss or corruption of data), whether in contract, tort, negligence, breach of statutory duty or otherwise, arising out of or in connection with i) any temporary or permanent non-availability of this Site and/or of any data or documentation uploaded to or accessed through it; ii) any unauthorised accessing of data or documentation held on our computer systems; iii) any unauthorised interception of data or documentation transmitted through, to or from this Site; or iv) any virus, distributed denial-of-service attack or other technologically harmful material that may infect your computer equipment, computer programs, data and/or other proprietary material due to your use of this Site, your transmission of information or documentation through or to this Site or your downloading of any content from it, or from any other website linked to it.

(v) Except as expressly set out in these terms of use, all warranties, conditions and undertakings, express or implied, whether by common law, statute, trade usage, course of dealings or otherwise (including but not limited to implied warranties of satisfactory quality and fitness for purpose) in respect of this Site and/or its availability and content are excluded by TSG to the fullest extent permitted by law.

This Site has been designed, and these terms of use shall be governed by and construed, in accordance with the laws of the state of Delaware. Any dispute arising out of the accessing or use of this Site shall be subject to the exclusive jurisdiction of the state and federal courts of competent jurisdiction located in the state of Delaware.
